3.2 Client Projects (Agency Work) Unless otherwise stated in a specific Master Services Agreement (MSA):

• Upon full payment of all invoices, the Client is granted ownership of the final deliverables (e.g., custom code, designs) created specifically for them.
• FarziEngineer retains the right to reuse generic code snippets, libraries, and know-how developed during the project for other purposes.
• FarziEngineer reserves the right to display the completed work in our portfolio and case studies unless a Non-Disclosure Agreement (NDA) states otherwise.

4. Payment & Billing

• Invoicing: Invoices for services are due upon receipt or within the timeframe specified in the invoice Net 7 (Net 7 days).
• Late Payments: We reserve the right to suspend services or pause development work if payments are not received by the due date.
• Taxes: All fees are exclusive of applicable taxes (GST). The Client is responsible for paying all taxes associated with their purchase of services.

5. Limitation of Liability

To the fullest extent permitted by law, FarziEngineer shall not be liable for:

• Any indirect, incidental, or consequential damages arising from the use of our services.
• Loss of data, profits, or business opportunities resulting from software bugs, server downtime, or third-party service failures.
• While we strive for perfection, software is never error-free. We do not warrant that our services will be uninterrupted or completely secure.

6. Third-Party Links & Tools

Our website and services may contain links to third-party websites or tools (Shopify, Google Analytics, Payment Gateways). We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites.

7. Confidentiality

We respect your business secrets. FarziEngineer agrees not to disclose any confidential information provided by the Client to third parties, except as required to perform the services or by law.

8. Governing Law and Dispute Resolution

8.1 Governing Law These Terms and Conditions and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

8.2 Exclusive Jurisdiction Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall be subject to the exclusive jurisdiction of the courts located in Lucknow, Uttar Pradesh, India.

8.3 Dispute Resolution (Amicable Settlement) Before initiating any legal proceedings, the Parties agree to attempt to resolve any dispute amicably. You agree to provide us with a written notice of your grievance to [[email protected]] and allow a period of thirty (30) days for negotiation and resolution.
